Terms of use

These terms cover your use of MORhq, a service operated by Lyra Ventures LLC. They are written to be read, not to be survived.

1. What the service does, and what it does not

MORhq prepares, calculates, reminds and archives. It takes the readings you enter or import, runs the calculations, fills the operating report on the form your state publishes where it can write into that file (otherwise it lays the readings out as a worksheet to copy onto that form), tracks the filing deadline, and keeps a copy of every version it generated together with the readings behind it.

You are the attesting party, and you always are. The certified operator of record reviews the month, signs it, and files it. The service does not sign, does not certify, and does not write an attestation on your behalf. It does not submit a report to any agency: we never submit on the operator’s behalf, and no part of the product transmits a filing to a state.

Nothing in the service is legal advice or a compliance determination. Checks are shown as “flagged for review”, with the rule that produced the flag and the readings that went into it, so that a qualified person can decide what it means. The service renders no verdict on a system either way, and it cannot prevent an enforcement outcome.

2. Your account

Accounts are created with an email address and a sign-in link; there is no password. You are responsible for the security of the mailbox that receives those links, and for the accuracy of the operator and system details you enter.

One account holds one organization and the systems on it. Access is scoped to your organization at the database level, so another account cannot read your systems, readings or filings.

3. Your readings and your filings

  • Your readings and filings are yours. We claim no ownership of them and do not sell them, and we do not use them to train models.
  • Every stored reading carries an audit trail: who entered it, when, and how it arrived — typed, imported, or extracted and then confirmed by you.
  • A filed snapshot is immutable. Corrections create a new version; they never rewrite the earlier one.
  • Export is available at any time, subscribed or not. A lapsed account keeps it.

4. Subscriptions and billing

Subscriptions are priced per system per month, at the rates published on the pricing page, with the subscription quantity set to the number of systems on your account. Pricing is graduated: each system is billed at the rate of the band it falls in, so adding a system never changes what the others cost. Payments are processed by Stripe; we do not hold your card details.

No card is collected to begin. During the trial the product computes in full, and forms it generates carry a DRAFT watermark. A watermarked form is a preview and is not intended to be filed.

You can cancel at any time; the subscription runs to the end of the period you have paid for. After a subscription lapses your filing archive stays readable and exportable. What stops is generating new forms.

5. State forms and their provenance

Each state form the service fills is recorded with its form identifier, its revision, the URL it was retrieved from and the date of retrieval, and those facts are displayed on the output and on that state’s page. States revise forms. We watch the recorded source URLs for drift, but a state can publish a change at any time, and the responsibility for filing on the current form remains with the operator who signs it.

Where a state ships at the “Fill + archive” tier, the service fills the state’s own file where it can write into it, and does not claim to have derived that state’s values. Where a state’s coverage is limited or a class of system is excluded, that is stated on the state’s page rather than left implied.

6. Acceptable use

  • Do not use the service to file a report you have not reviewed.
  • Do not attempt to access another organization’s systems, readings or filings.
  • Do not use automated extraction to process material you do not have the right to upload.

7. Availability and changes

We do not promise uninterrupted availability, and we will not claim that using it prevents a missed deadline or any regulatory outcome. To the maximum extent permitted by law, the service and every form it generates are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. If we change these terms materially, we will say so to the email on the account before the change takes effect.

8. Limitation of liability

To the maximum extent permitted by law, Lyra Ventures LLC and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, including fines, penalties or enforcement costs connected with a report you filed. Lyra Ventures LLC’s total liability for any claim arising out of or relating to the service will not exceed the amount you paid for the service in the twelve months preceding the claim.

9. Indemnification

You agree to defend, indemnify and hold harmless Lyra Ventures LLC, its officers, employees, contractors and agents from and against any claims, liabilities, damages, losses, costs and fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these terms, the reports you sign or file, the readings and material you enter or upload, or your violation of any rights of a third party.

10. Governing law and venue

These terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to the personal jurisdiction of those courts.

11. Ending the agreement

You can stop using the service at any time and export everything you have put into it. We may suspend an account for non-payment or for the acceptable-use breaches above; where we do, export of your existing archive remains available to you.
